$12.5M Raise Aims to Restart Genius Group’s $827M Bitcoin Treasury Plan
Genius Group, an AI-powered education company, is seeking to restart its Bitcoin treasury by raising $12.5 million through a perpetual preferred offering. The funds will be divided among its Bitcoin treasury, an AI portfolio, and a dollar reserve equal to about 18 months of preferred dividends. While this raise would only cover 1.51% of the target $827 million for the fiscal year 2031, it marks a significant step towards restarting the company's Bitcoin treasury.
The proposed security will be non-convertible and pay a variable rate monthly. However, the issue price, final size, timing, structure, or exchange listing have not been determined yet. The terms are subject to board approval, securities rules, and market conditions.
Genius Group claims that this instrument can avoid immediate common-stock dilution due to its non-convertible nature. Preferred holders will sit ahead of ordinary shareholders through monthly dividend and liquidation claims. However, the cash cost cannot be measured until the rate and amount sold are known.
