AI Financial's Desperate Measures Highlight Crypto Balance Sheet Woes
AI Financial Corp. has found itself in a precarious financial situation after selling its subsidiary ALT5 Sigma Canada for a secured note and restricted shares worth $23.5 million in revenue last year, but only receiving $1 million of that value upfront.
The company received a $12 million secured promissory note and 11,551,750 restricted Prime Delta shares as part of the deal, with Prime Delta agreeing to pay the first $1 million of the note principal on August 11. However, the remaining $11 million is dependent on future financing proceeds or four annual installments of $2.75 million beginning in 2027.
AI Financial's financial struggles are further compounded by its WLFI token holdings, which have been locked due to a conditional transferability window approaching August 12. The company had initially expected 3,583,585,650 WLFI tokens to become transferable on this date, subject to the effectiveness of a resale registration statement covering shares issued to World Liberty Financial and warrants granted to it.
Despite the sale of its subsidiary, AI Financial still faces near-term liquidity pressure, with the first test being whether Prime Delta makes the $1 million payment due August 11. The company's financial position has been described as 'substantial doubt about its ability to continue as a going concern' in its May 18 quarterly report.
