Alpha Modus Secures 3,170 Bitcoin in Private Placement Deal
Alpha Modus Holdings, Inc., a company that hasn't made significant headlines yet, has secured 3,170 Bitcoin in a private placement (PIPE) deal. This deal involves non-U.S. investors purchasing 51.6 million Class A shares and warrants for an additional 51.6 million shares. The company will receive the Bitcoin in exchange for these securities.
The Securities Purchase Agreement restricts new equity issuance until December 31, 2026, or 30 days after registration effectiveness, whichever comes first. This restriction has limited exceptions. Additionally, the warrants have a two-year term and an exercise price of $4.36. They also carry a beneficial ownership cap of 19.99%.
The Registration Rights Agreement obligates Alpha Modus to file a resale registration within 15 days of closing and includes shares underlying the warrants. This move aims to strengthen liquidity through a crypto-funded private placement.
