Capital B Raises €7.6 Million with Strategic Investor Adam Back

Capital B SA, listed on Euronext Growth Paris and described as Europe's first Bitcoin Treasury Company, has announced a capital raise of €7.6 million through a private placement of shares with four share subscription warrants attached to each share (ABSA). The ABSA was subscribed by strategic investor Adam Back at €0.58 per unit.

The company will use the proceeds from this operation primarily to strengthen its balance sheet by accumulating Bitcoin as a long-term reserve asset, implementing its strategy of increasing the number of bitcoin per fully diluted share over time. After the completion of the reverse stock split on September 8, the exercise ratio of each warrant will be adjusted to entitle the holder to 1/10th of a share.

With the total amount of €7.6 million raised through this operation, Capital B's potential total holdings could increase by 376 additional BTC, bringing it to 3,521 BTC. The accelerated exercise period can be triggered if the VWAP of the company's shares exceeds 130% of the relevant warrant tranche's exercise price over 20 consecutive trading days.
