Circle Acquires Tazapay for $400M to Bolster Global Payment Infrastructure
Circle Internet Group has entered into a definitive agreement to acquire Singapore-headquartered Tazapay in an all-stock transaction worth $400 million. This deal marks Circle's most substantial acquisition since purchasing cryptocurrency exchange Poloniex in 2018.
Tazapay currently handles over $25 billion in annual payment volume across more than 100 global markets, with approximately 60% of its transactions utilizing stablecoin technology. The platform operates as a connector between payment providers and financial institutions, linking to more than 60 banking and fintech infrastructure partners.
The transaction completion is anticipated in 2027, subject to regulatory clearance from the Monetary Authority of Singapore (MAS) and other approvals. Following deal completion, Circle intends to issue $25 million in restricted stock units to designated Tazapay personnel. These equity awards will vest through eight quarterly distributions, commencing approximately 27 months post-closing.
