Circle Secures Bank Charter Ahead of GENIUS Act Deadline
Circle Internet Group (NYSE: CRCL), the issuer of stablecoin USDC, has been granted a bank charter by the U.S. Office of the Comptroller of the Currency (OCC). This move is seen as a strategic one, as it will allow Circle to establish a custodial vault ahead of the GENIUS Act's January 2027 deadline.
The trust bank, named Circle National Trust, does not accept deposits or make loans. Instead, its primary function will be as a sub-custodian for Circle affiliates and may eventually open custody services to outside institutions depending on demand.
Circle CFO Jeremy Fox-Geen explained that the charter is regulatory bedrock laid down ahead of rules that have yet to arrive. He emphasized that USDC's underlying operations remain unchanged, with reserves still being held by BNY as custodian and BlackRock as asset manager.
The market reaction was mixed, with shares jumping 15.6% intraday but closing at a milder 5.7% gain after charter approval. Some analysts were skeptical about the impact of this move on Circle's business, noting that it does not directly address USDC's shrinking market value or the upcoming arrival of rival stablecoin Open USD.
