CleanCore Stock Offering Skyrockets Share Count Over 122%

CleanCore's recent stock offering has significantly increased its share count, from approximately 226 million to over 502 million shares outstanding. The $100 million offering, which closed on August 12, was issued to support CleanCore's shift towards investing in Minnesota AI infrastructure, rather than its traditional cleaning products and Dogecoin treasury assets.

The stock offering increased the share count by a substantial 121.9%, with 275.8 million new shares being issued. However, this figure does not include an additional 524.2 million potential shares that could be released through warrants.

Pre-funded warrants covering up to 124.2 million shares were issued at a cost of $0.0001 per share, while investor warrants covering up to 400 million shares were issued at a cost of $0.25 per share. These warrants come with conditions and ownership limits, and their exercise could potentially bring in an additional $100 million in gross proceeds.
