Crypto Vault Controllers Face SEC Scrutiny
SEC Commissioner Hester Peirce has warned that crypto vaults may face federal securities-law scrutiny if they have human controllers who make decisions about how assets earn yield.
Morpho Vault V2, a decentralized lending protocol, packages curated lending strategies into onchain vaults. Users interact with smart contracts, but curators still decide where capital can go and how much risk the vault can take.
Peirce placed crypto vaults on a spectrum in a July 22 statement, saying that some run on immutable code while others give people control over yield routes and asset allocation decisions. She did not mention any specific protocol or issue a ruling, but highlighted the importance of understanding how human controllers impact the structure and activities of a particular vault.
The Morpho Vault V2 architecture divides powers between curators and allocators, with curators choosing strategies and appointing allocators to move assets within set limits. This raises questions about whether regulators will view these human-controlled decisions as financial management, potentially impacting teams running DeFi yield products more broadly.
