Evernorth Clears SEC Hurdle, Setting Stage for Nasdaq Debut
Evernorth has cleared a major regulatory hurdle on its path to listing XRP-focused digital asset treasury on Nasdaq. The SEC declared Evernorth's Form S-4 registration statement effective on August 27, paving the way for Armada Acquisition Corp. II shareholders to vote on the proposed business combination on September 30.
The combined company, if approved and completed, is expected to trade under the ticker XRPN. What sets Evernorth apart from traditional crypto treasury companies is its plan to actively deploy XRP rather than simply holding it.
Evernorth intends to use yield strategies, ecosystem participation, and capital-markets activities to increase XRP per share over time. This approach creates a different performance equation for public investors, who will need to evaluate the company's active treasury management in addition to its underlying crypto exposure.
