Evernorth Updates SEC Filing for Planned $1B XRP Treasury

Evernorth Holdings has updated its SEC filing for its planned $1 billion XRP treasury as it works towards a Nasdaq listing. The company, backed by Ripple, filed Amendment No. 5 to its Form S-4 registration statement with the SEC.

The latest amendment includes employment agreements for three senior executives: chief legal officer Jessica Jonas, chief business officer Sagar Shah, and chief operating officer Meg Nakamura. Each executive will receive an annual bonus equal to 50% of their base salary, as well as restricted stock units and employee benefits.

Jonas' initial equity award is valued at approximately $4.5 million, while Shah and Nakamura's awards are worth about $2.8 million each. These agreements complete the company's disclosed compensation arrangements for its main leadership team.
