Fold Considers Reverse Split to Regain Nasdaq Compliance
Fold, a Bitcoin financial services firm listed on Nasdaq, is considering a reverse split to address its share-price issue. This move could help the company regain compliance with Nasdaq's $1 minimum bid-price requirement without raising cash or issuing new shares.
According to Fold's quarterly filing, as of June 30, the company held 194 BTC worth $11.4 million in its investment treasury after selling 832 BTC during the six months ended June 30. It also held 77 BTC worth $4.5 million in a rewards treasury, matched to a Bitcoin-denominated customer rewards liability.
A reverse stock split would lift Fold's nominal share price without addressing the company's operating expenses. Fold reported an $15.6 million operating loss for the first six months of 2026, making dilution and further use of the investment treasury possible financing risks.
