GameStop Plans $1.4 Billion Stock Swap Amid Bitcoin Collateral Risk
GameStop is planning a $1.4 billion stock swap to reduce its debt burden. The company will exchange zero-coupon convertible notes for new shares, which could retire about one-third of its note principal if the deal closes.
The swap will replace future repayment obligations with newly issued shares, but the resulting shareholder dilution remains unknown until GameStop discloses the final share count in a later filing. A 35-day volume-weighted average price period began on August 3, 2026, and will help determine how many shares noteholders receive shortly before closing.
The company's quarterly filing shows that most of its previously disclosed Bitcoin was pledged as collateral under a covered-call strategy with Coinbase Credit. As of May 2, 2026, GameStop held only one Bitcoin directly, while 4,709 BTC were pledged to Coinbase Credit at an $80,000 strike price.
GameStop expects the exchange to close around September 23, 2026, subject to customary conditions, but warned that noteholders could trade shares or adjust related derivative positions before closing, potentially increasing volatility in its stock or notes. The company has $7.4 billion in cash and cash equivalents and $4.2 billion in long-term debt as of May 2.
