Genius Group Aims to Build $827M Bitcoin War Chest by 2031
Genius Group, a Singapore-based AI education company listed on NYSE American under the ticker GNS, has outlined a five-year capital plan that includes accumulating $827 million worth of Bitcoin by 2031. The company plans to fund this buying spree primarily through perpetual preferred stock issuances, part of a broader $1.2 billion shelf registration that went effective in July 2025.
The Bitcoin treasury is just one half of the story. Genius Group is simultaneously building an $800 million AI Treasury, bringing its total asset target to $2 billion by fiscal year 2031. This represents a roughly 19x expansion in five years for a company with net assets of $106.6 million as of the announcement.
The capital plan centers on perpetual preferred stock, or PPS, which is structured as non-convertible with a variable monthly rate. This design means the preferred stock won't convert into common shares down the road and is intended to grow the company's net asset value per ordinary share without diluting existing holders.
