H100 Group Completes World's First All-Bitcoin M&A Deal
H100 Group AB, a publicly traded Swedish company listed on the NGM Nordic SME exchange, has completed an unprecedented merger and acquisition (M&A) deal in Bitcoin.
The company acquired Norwegian Bitcoin treasury entities Moonshot AS and PDI AS on August 10, catapulting H100's Bitcoin holdings from 1,051 BTC to 3,506.4 BTC, a 234% increase that makes the company a significant player in corporate Bitcoin accumulation.
The deal was an all-share transaction, with H100 issuing approximately 790.5 million new shares to the owners of Moonshot AS and PDI AS. The sellers' entities held 2,455.37 BTC on their balance sheets, which rolled into H100's treasury as part of the acquisition.
H100's Executive Chairman Sander Andersen stated that the deal 'not only preserves the Bitcoin-per-share ratios but also integrates experienced team members, enhancing the company's capacity for institutional engagement.'
