IREN's $625M AI Bet Creates $476M Stock Overhang
Bitcoin miner IREN made a significant acquisition in May, purchasing Mirantis for approximately $625 million. The deal closed on August 3, with IREN issuing 12.6 million shares and about $40 million in cash. However, the registration of nearly 12 million of these shares by former Mirantis investors has created a potential overhang worth around $476 million.
The block of shares was registered on August 4, allowing these new holders to sell all or part of their stock through public or private transactions. IREN will not receive any proceeds from this sale, as the shares already belong to the former Mirantis holders. The registration removes a restriction on nearly 95% of the shares issued at closing.
IREN accepted the additional shares because Mirantis fills what the company describes as the third layer of its vertically integrated AI platform. This acquisition allows IREN to serve a wider range of customers, including hyperscalers and enterprises, by providing more fully managed cloud services. Mirantis has served over 1,500 enterprise customers, and its software has already supported announced and prospective IREN cloud contracts.
