Japan Reclassifies Crypto Assets as Financial Instruments
Japan has reclassified over 105 crypto assets as financial instruments under the Financial Instruments and Exchange Act (FIEA), moving them out of the Payment Services Act framework. This change aims to bring crypto assets in line with traditional securities, such as stocks and bonds, and is expected to take effect during fiscal year 2027.
The amended FIEA introduces new obligations for exchanges serving Japanese users, including three layers of responsibility and stricter custody operations under direct supervision from the Financial Services Agency (FSA). Crypto asset issuers must also comply with annual disclosure requirements comparable to those applied to public companies, covering token supply, distribution, governance, and risk factors.
The reclassification creates new insider-trading prohibitions, making it illegal for individuals to trade on material nonpublic information about a crypto asset. Officers, employees, and related parties of crypto issuers and exchanges now face enforcement action if they trade ahead of material announcements.
