Kenya's Crypto Regs: High Compliance Costs May Favour Big Players

The Kenyan government has introduced new regulations for the virtual asset market, aiming to create a formal path into the market. However, this move may have unintended consequences, as it could raise the cost of compliance significantly.

Under the new rules, businesses operating in the virtual asset market will need to commit more capital, expand their compliance operations, and invest in new systems to meet regulatory requirements. This could give well-funded exchanges and fintech companies an advantage over smaller rivals that may struggle with recurring costs such as audits, cybersecurity, governance, and specialist staff.

The regulations also set relatively low minimum paid-up capital requirements for certain businesses, such as investment advisors, potentially allowing smaller firms to compete in narrower market segments. However, stablecoin issuers, offshore platforms, and companies with weak compliance systems face higher costs and closer scrutiny.

Smaller businesses now have a clearer path into some parts of the market, while others face a sharp rise in the cost of doing business. For example, stablecoin issuers must meet a paid-up capital requirement of KES 300 million ($2.3 million), with at least 30% of funds received in exchange for stablecoins held in segregated trust accounts at Kenyan commercial banks.
