Metaplanet Loses Value Crown Amid Governance Dispute and Bitcoin Expansion

Metaplanet has lost its position as Asia's most valuable listed Bitcoin vehicle to US asset manager Strive, according to data from Bitcoin Treasuries. As of Tuesday, Strive was worth $2.32 billion, while Metaplanet closed at $2.10 billion after the Tokyo session on Wednesday.

The shift reflects investor confidence that has eroded significantly due to a governance dispute centered around an expanded stock option program tied to subscription rights and CEO Simon Gerovich's relationship with MMXX Ventures, a shareholder. Critics argue the management option pool has swelled with new share issuances used for additional Bitcoin purchases, diluting existing holders.

Gerovich acknowledged in a statement on September 6 that Metaplanet failed to adequately explain the structure and rationale of the subscription rights program and MMXX Ventures' role. He clarified his significant but non-majority shareholder status in MMXX's parent company and stated he has no influence over its trading decisions, although the extent of his personal gains from share sales by MMXX remains unclear.

Investors have pressed for more transparency, demanding the names of MMXX Ventures' owners, a full accounting of economic benefits derived from earlier share sales, and a rollback of the expanded executive option pool. The board has attempted to address some concerns by amending the terms of the tenth subscription rights series, scrapping the adjustment mechanism that tied the number of underlying shares to the fully diluted share count.

Despite these efforts, Metaplanet's stock remains volatile, with a 66% decline from its 52-week high and a 30-day annualized volatility of 81%. The company's operations show promise, however, with group revenue climbing 251.1% in the first quarter to JPY 3,080 million, powered by Bitcoin activities and the hotel business.
