Metaplanet Secures Control of Nasdaq-Listed Super League with $2.5M, 2,100 Bitcoin Deal
Metaplanet Inc., a Japan-based company listed on the TSE Standard market, has agreed to make a strategic investment in Super League Enterprise, Inc., a Nasdaq-listed U.S. digital media company. The deal involves injecting 2,100 Bitcoin and US$2.5 million in cash through its wholly owned subsidiary Metaplanet Holdings in exchange for common stock, warrants, and preferred stock.
This will give Metaplanet a controlling voting interest and allow it to convert Super League into a consolidated and specified subsidiary while keeping the U.S. company separately listed on Nasdaq. Super League plans to launch a Bitcoin treasury business alongside its existing operations and use U.S. capital markets to raise funds primarily to acquire additional Bitcoin.
Metaplanet aims to increase the amount of Bitcoin economically attributable to each of its shares, enhancing its BTC Yield performance metric. The initial 2,100 BTC contribution represents about 4.9% of Metaplanet's holdings and will give it access to both Japanese and U.S. capital markets to finance long-term Bitcoin accumulation.
The deal is subject to closing conditions, including shareholder approval, and once satisfied, Metaplanet will position itself as a major player in the Bitcoin ecosystem with expanded operations globally through its subsidiaries.
