Metaplanet Slashes Executive Stock Options Pool, Expands into Hong Kong
Metaplanet, a Tokyo-listed company, has made significant changes to its executive stock options pool and announced plans for a new Hong Kong subsidiary. The company is reducing the Series 10 executive stock acquisition rights pool by 41.1%, from 319.46 million potential shares down to 188.19 million.
The move comes in response to growing concerns about dilution among shareholders, who have been vocal about the issue. Metaplanet's executive compensation structure had automatically expanded the options pool whenever new shares were issued as part of its Bitcoin acquisition strategy, leading to increased dilution for existing holders.
The company is also adjusting the conversion ratio for remaining rights from 696 shares per right down to 410, and withdrawing a previously planned 20% allocation of rights to staff incentive programs. Additionally, the vesting schedule for remaining rights has been restructured to vest in equal tranches across 2029, 2030, and 2031.
