Peirce Warns Crypto Vaults and Lending Strategies May Trigger Registration Requirements
SEC Commissioner Hester Peirce recently issued a warning about crypto vaults and lending strategies, stating that they may trigger registration requirements due to active management. In her statement titled 'Headstands and Summervaults,' she noted that these on-chain yield tools are subject to federal securities laws.
Pierce emphasized that while crypto activity is moved on-chain, it does not erase its securities duties. She cautioned that vaults, which allow users to deposit crypto assets into smart contracts for staking or lending, can become investment contracts when depositors expect profits mainly from a curator's efforts.
The commissioner also highlighted concerns about lending platforms, where operators often set interest rates and loan-to-value limits, making loans resemble security-style notes. Pierce invited vault operators and lending platforms to contact the agency directly, inviting compliant collaboration and questioning whether existing rules block innovation.
