Peirce Warns Crypto Vaults May Still Be Securities Despite Being On-Chain
SEC Commissioner Hester Peirce has issued a statement on crypto vaults and lending strategies, warning that putting an activity on-chain does not automatically move it outside federal securities laws.
The statement, titled 'Headstands and Summervaults: A Statement on Crypto Vaults and Lending Strategies,' focuses on the nuances of decentralization in DeFi. According to Peirce, if someone is making investment decisions for users, setting lending parameters, choosing strategies, managing risk, or controlling interest and loan-to-value terms, the structure may start to look less like neutral software and more like an investment arrangement.
Peirce's statement emphasizes that regulators look beyond code and examine who controls the strategy, makes decisions, and whom users rely on. The commissioner argues that moving a product on-chain does not erase the economic reality of how it operates.
The statement is particularly relevant to DeFi teams building yield vaults, lending managers, and curated strategy products. Peirce's tone is cautionary but not anti-crypto, urging builders to understand the legal consequences of their structure choices.
