Michael Saylor's recent essay 'The Bitcoin Reformation' has shed light on the intersection of institutional custody and securities in the context of Bitcoin ownership. The essay argues that sovereign choice should be defined as the ability to choose between direct ownership and transparent institutional claims.

On the same day, Strategy reported a series of transactions totaling $2.0065 billion in net proceeds from MSTR share sales, along with $5.10 billion in its USD Reserve and $1.59 billion in a new USD Cash pool. The company also repurchased 1,431,212 STRC shares for $136.4 million.

The essay emphasizes that self-custody is a vital exit right and a check on intermediaries, but rejects turning this right into an obligation for every person and institution. Saylor argues that the distinction between direct control and institutional custody lies in risk allocation: direct control removes a custodian while making the owner responsible for keys, backups, inheritance planning, and protection from digital or physical threats.

Strategy's disclosures demonstrate the practical application of these principles. The company has allocated $300 million to its USD Reserve, which is governed by a board-approved policy restricting it to preferred dividends and debt interest. Strategy also maintains a BTC Monetization Program that permits specified Bitcoin sales to add up to $1.25 billion to the reserve or cover/dividend payments.
