SEC Exempts Crypto Offerings from Registration Requirements

The Securities and Exchange Commission (SEC) has proposed exempting certain digital asset offerings from securities registration statements.

This move comes as a response to landmark legislation that stalled in Congress, which aimed to regulate crypto more comprehensively. The proposal would allow issuers of digital assets to avoid filing lengthy registration statements with the SEC for a period of time.

The exemption would apply to offerings up to $5 million for four years and those up to $75 million for 12 months. However, issuers under the second exemption would be required to provide financial statements and meet ongoing reporting requirements.
