SEC Files Update for 21Shares XRP ETF Licensing Agreement
The Securities and Exchange Commission (SEC) has filed an 8-K notice for the 21Shares XRP ETF, detailing a Benchmark Licensing Agreement between 21Shares US LLC and FTSE International Limited. The agreement governs how 21Shares uses the FTSE XRP Index as the benchmark for its ETF.
The 21Shares XRP ETF, which trades under the ticker TOXR on the Cboe BZX Exchange, has been in operation since December 11, 2025. The filing is a routine update to reflect changes in the agreement rather than a new approval or launch announcement.
Under the Benchmark Licensing Agreement, signed on August 20, 2026, 21Shares will use the FTSE XRP Index as the benchmark for its ETF. This means that the fund will passively track the price of XRP by holding the tokens directly, without any leverage or derivatives.
Custodial duties are handled by Bank of New York Mellon and Coinbase. The SEC originally received the S-1 registration for the fund on November 1, 2024, with several amendments made before its effective declaration on December 10, 2025.
As of December 31, 2025, just weeks after its trading debut, the 21Shares XRP ETF had accumulated net assets of approximately $247.7 million and increased its outstanding shares by 3,890,000 from the prior period.
