SEC Proposes Crypto Fundraising Exemptions Amid CLARITY Act Senate Test
The US Securities and Exchange Commission (SEC) has proposed new regulations for cryptocurrency fundraising. The plan would create exemptions, disclosure requirements, and a safe harbor for certain crypto offerings.
The proposal aims to provide a clearer framework for investment contracts involving crypto assets while preserving investor protections. It would allow crypto companies to issue up to $5 million in tokens over four years or raise to $75 million during 12 months under separate exemptions.
The plan also creates a safe harbor that could keep qualifying cryptocurrencies from being treated as investment contracts, provided issuers meet financial statement and ongoing reporting requirements.
