SEC Proposes Crypto Regulation Rule with Two Tracks for Offerings

Share

The U.S. Securities and Exchange Commission has proposed its first major rule governing crypto assets, sparking hope for clearer regulations in the industry.

The agency's 'Regulation Crypto Assets' aims to clear a path for offering crypto securities without triggering certain regulatory demands.

The proposal includes two tracks for crypto securities offerings: one allowing issuers to offer up to $5 million over four years, and another permitting offerings of up to $75 million in each year.

Issuers would be required to make narrative disclosures available to their investors under both exemptions. The second exemption also requires financial statements and ongoing reporting requirements.

The SEC is inviting public and industry comment for 60 days, after which the input will be reviewed before writing the final version of the rule.
