SEC Proposes New Crypto Regulation Framework with Easier Capital Raising
The U.S. Securities and Exchange Commission (SEC) has proposed a new regulatory framework for crypto assets, aiming to reduce barriers for entrepreneurs while maintaining investor protections.
The 'Regulation Crypto Assets' proposal would establish a tailored securities regime for certain investment contracts involving crypto assets, allowing issuers to raise capital more easily.
Two new exemptions from securities registration requirements are included in the proposal: one for up to $5 million over four years and another for up to $75 million in 12 months.
Issuers using these exemptions would still face disclosure requirements, with projects relying on the larger exemption also having to provide financial statements and comply with ongoing reporting obligations.
