SEC Proposes New Crypto Regulations Amid Congressional Stalemate

The Securities and Exchange Commission (SEC) is set to consider new rules for regulating cryptocurrencies on August 14. The proposed regulations, dubbed Regulation Crypto Assets, aim to establish formal exemptions that would allow digital asset projects to raise capital without registering securities.

The SEC's Sunshine Act Notice reveals that the agency will consider a 'tailored offering regime' for certain investment contracts involving crypto assets. This would create pathways for projects to raise money while satisfying defined conditions rather than facing full securities registration or risking an enforcement action.

The proposed regulations build on an earlier Commission-level interpretation issued in March, which established a distinction between a crypto asset itself and an investment contract involving that asset. Regulation Crypto Assets would provide a regulatory off-ramp for projects that begin with centralized developers raising money to build a network but eventually become sufficiently independent of those developers.

The shift to rulemaking is seen as significant, as it would embed the SEC's approach into its regulatory architecture. The initiative comes as Congress has again failed to complete legislation establishing a comprehensive digital-asset market structure, with the Senate leaving for recess without voting on the Clarity Act.
