The US Securities and Exchange Commission (SEC) has proposed new rules to allow crypto projects to sell tokens directly to US investors, marking a significant shift in regulatory policy. The proposal, titled 'Regulation Crypto Assets,' aims to provide clarity for issuers by establishing a formal exit from securities classification.
The rules include two exemptions for token sales with disclosure requirements and financial reporting for larger raises. This would replace years of litigation, such as the Ripple XRP case, which has plagued the industry. A safe harbor provision allows tokens to exit securities status once promised managerial work ends, providing a clear path forward for issuers.
The proposal is now open for public comment, with comments due within 60 days. The SEC's move is expected to have far-reaching implications for token sales and US market structure legislation.
