SEC Proposes New Rules to Regulate Crypto Assets with Clear Framework
The Securities and Exchange Commission (SEC) has proposed new rules to regulate crypto assets. The proposal, titled 'Regulation Crypto Assets,' aims to create a clear framework for certain investment contracts involving crypto assets.
The SEC's March 2026 interpretation clarified how federal securities laws apply to certain crypto assets and transactions involving them. This proposal builds on that guidance, introducing a comprehensive, tailored securities offering regime.
'As we continue the Commission’s efforts to provide clarity for crypto markets,' said SEC Chairman Paul S. Atkins, 'Regulation Crypto Assets seeks to provide crypto asset entrepreneurs and market participants with clear pathways to raise capital under the federal securities laws.'
The proposed rules include two exemptions from registration requirements: one allowing offerings of up to $5 million during a four-year period, and another permitting offerings of up to $75 million during each 12-month period. Issuers would need to make narrative disclosures available to investors.
