SEC Proposes Regulation Crypto Assets Framework for U.S. Fundraising
The U.S. Securities and Exchange Commission (SEC) has proposed Regulation Crypto Assets, a new framework for certain investment contracts involving crypto assets and fundraising activities in the United States.
The proposal would create specific pathways for eligible offerings to raise up to $5 million over four years or $75 million annually, while preempting certain state registration requirements. This move aims to give token launches and fundraising clearer compliance with securities laws.
SEC Chair says the proposal would give crypto issuers a path to comply with securities laws, potentially supporting crypto adoption and capital formation. The framework includes a conditional safe harbor for certain crypto assets after an issuer completes or permanently stops its essential managerial efforts.
