SEC Set to Vote on Proposed Rules for Cryptocurrency Investment Contracts
The US Securities and Exchange Commission (SEC) is set to vote on August 14th on proposed rules for certain cryptocurrency investment contracts. The new framework, known as Regulation Crypto Assets, aims to provide a more practical route for projects raising capital while preserving investor disclosures and securities-law protections.
According to the SEC's official agenda, commissioners will consider whether to issue proposed rules establishing a 'tailored offering regime for certain investment contracts involving crypto assets.' This marks a significant change in how the regulator approaches cryptocurrency, as much of the past decade has seen companies interpret existing securities laws to apply to token fundraising structures.
The precise requirements of Regulation Crypto Assets will not be known until the SEC releases the proposed rule text. The agency's meeting notice says the proposal would cover certain investment contracts involving crypto assets and include related amendments. This distinction addresses one of the industry's longest-running legal disputes, where a developer could raise capital by selling tokens while promising to build a network whose success determines their value.
