SEC Targets $131B DeFi Vault Sector Over Securities Concerns
The Securities and Exchange Commission (SEC) has issued a warning to the decentralized finance (DeFi) sector, specifically targeting the $131 billion DeFi vault industry. SEC Commissioner Hester Peirce cautioned that onchain yield contracts may be considered securities.
The warning centers around the fact that changing the technological layer of a financial product does not alter its legal status. Moving investment management onto public blockchain rails does not provide an exemption from federal security rules.
The SEC's focus is on the human discretion and active management involved in modern DeFi vaults, which are increasingly being constructed and managed by professional asset managers, risk curators, and automated rebalancing scripts.
This distinction creates legal liability for vault creators, risk parameter curators, and frontend interfaces. Protocols that advertise optimized yields through active capital allocation may be held responsible for offering unregistered securities or failing to register as investment advisers.
