SEC Unveils Ambitious Crypto Regulation Framework
The Securities and Exchange Commission (SEC) has proposed a new regulatory framework for crypto assets, aiming to bring order to the industry. According to SEC Chairman Paul S. Atkins, this is the 'most historic step yet' in regulating cryptocurrencies.
The proposal, called Regulation Crypto Assets, would give digital asset issuers clear pathways to raise funds while remaining within federal securities law boundaries. Two exemptions from Securities Act registration requirements are included: a startup exemption for up to $5 million and a broader fundraising exemption with two tiers ($20 million and $75 million) that require audited financial statements and ongoing reporting obligations.
The proposal also introduces a conditional safe harbor that would exclude certain crypto assets from the definition of an 'investment contract' under federal securities law, provided specified conditions are met. This would simplify state-level registration requirements for compliant offerings and secondary market transactions.
