SEC Unveils Comprehensive Framework for Regulating Crypto Assets
The Securities and Exchange Commission (SEC) has released 'Regulation Crypto Assets', a 401-page proposal that creates a dedicated securities framework for token issuers. This move is seen as a significant step towards clarity in the crypto space, which has been plagued by lawsuits rather than clear guidelines.
The regulation introduces new offering exemptions, registration pathways, and a safe harbor provision that could free sufficiently decentralized projects from securities classification entirely. The core of the proposal revolves around 'covered investment contracts', a term that captures various ways crypto projects raise money from investors.
Two key exemptions stand out: the 'startup exemption' allows early-stage projects to raise up to $5 million over four years, while the 'fundraising exemption' permits annual raises of up to $75 million with required financial statements and reporting standards.
