SEC Unveils Comprehensive Regulatory Framework for Cryptocurrencies
The U.S. Securities and Exchange Commission (SEC) has introduced its first comprehensive regulatory framework for cryptocurrencies, dubbed 'Regulation Crypto Assets.' This new structure aims to provide digital asset companies with legitimate fundraising avenues that don't automatically invoke securities regulations.
The proposed framework includes a dual-track system for token issuers, which allows them to raise either up to $5 million over four years or $75 million annually. Companies using this system must furnish investors with 'principles-based narrative disclosures' and comply with current anti-fraud statutes and market manipulation prohibitions.
The SEC has also established a safe harbor mechanism that would prevent certain crypto tokens from being categorized as 'investment contracts' under existing securities frameworks, provided the issuer fulfills all committed management responsibilities. This approach aligns with earlier SEC guidance documents.
