SEC Unveils Landmark Regulation Framework for Crypto Industry
The Securities and Exchange Commission (SEC) has proposed a new regulatory framework to bring order to crypto capital markets. The proposal, called Regulation Crypto Assets, aims to provide clear pathways for digital asset issuers to raise funds while remaining within federal securities law.
According to SEC Chairman Paul S. Atkins, the proposal is the 'most historic step yet' in regulating the crypto industry. He noted that for too long, issuers and investors had to navigate uncertainty and innovation chasing offshore due to a lack of clear guidelines.
The proposal establishes two exemptions from Securities Act registration requirements: a startup exemption allowing issuers to raise up to $5 million in a single offering during any four-year window, and a broader fundraising exemption with tiered limits. A safe harbor is also introduced that would exclude certain crypto assets from the definition of an 'investment contract' under the Securities Act of 1933 and the Securities Exchange Act of 1934.
The proposed rules are open for public comment for 60 days following publication in the Federal Register. Commissioner Hester Peirce noted that 'our rules need to be tailored to changing market developments and designed to protect investors and market integrity.'
