SEC Unveils Reg Crypto Rules with $75M Exemption
The U.S. Securities and Exchange Commission (SEC) has proposed new rules for regulating cryptocurrency investment contracts under its Reg Crypto framework.
The proposal includes two registration exemptions, one allowing issuers to raise up to $5 million in a four-year period without registering with the SEC, and another permitting offerings of up to $75 million annually with additional obligations.
The rules also introduce a conditional safe harbor from securities classification for certain crypto assets, which could change how tokens are treated under federal law.
