SEC Unveils Regulation Crypto Assets Proposal With Two Key Exemptions
The US Securities and Exchange Commission (SEC) has unveiled its long-awaited proposal for regulating crypto assets, dubbed Regulation Crypto Assets. The framework aims to provide clearer pathways for issuers to raise capital under federal securities laws, as stated by SEC Chairman Paul Atkins.
The regulation proposes two registration exemptions: one allowing offerings up to $5 million within a four-year window, and the other permitting up to $75 million during any rolling 12-month period. Companies relying on these options must provide investors with narrative disclosures before any sale occurs, and may be required to supply financial statements and maintain ongoing reporting.
The proposal also includes a conditional safe harbor provision that allows crypto assets to exit investment contract status once an issuer completes or permanently ends managerial efforts originally promised. This shift in classification is intended to formalize when the securities status of a token should lapse.
