Soluna Seeks Billion-Share Boost for Bitcoin and AI Expansion
Soluna Holdings, a developer of data centers, is seeking to raise capital by expanding its ability to issue stock. The company filed an SEC proposal that would increase its authorized common stock from 375 million to 1 billion shares, allowing it to finance its ambitious expansion plans.
The proposed share increase comes as Soluna works to build a pipeline of 6.3 gigawatts, most of which remains unbuilt. The company has identified several financing options, including a standby equity agreement with YA II PN, under which it could issue up to 20% of its outstanding shares.
Soluna's expansion plans include developing AI and Bitcoin-related projects, which require substantial capital. While the proposed share increase would give management more room to use equity to fund expansion, existing investors may see their earnings per share diluted and voting power reduced.
