Strategy Inc.'s Preferred Stock Strategy Sparks Shareholder Tension
Strategy Inc., the parent company of MicroStrategy (MSTR), has seen its shares fall by about 7% after releasing its second-quarter earnings. This decline is attributed to a disagreement between investors over the company's capital strategy, specifically regarding its use of preferred stock and bitcoin reserves.
Peter Schiff, a long-time critic of bitcoin, argued that Strategy's STRC financing priorities disadvantage MSTR shareholders. He claimed that the company's goal of keeping STRC near its $100 stated value creates a direct conflict between preferred investors and common shareholders.
Strategy uses its reserves and repurchases to support its preferred stock and maintain liquidity. The company has expanded its dollar reserve to approximately $3.75 billion, providing an estimated 2.1 years of preferred-dividend and interest-expense coverage. However, this move has been met with differing opinions on whether it strengthens the company's funding model or redirects resources that could support common shareholders.
Investors are divided over the impact of Strategy's capital strategy on common shareholders. While some argue that protecting preferred securities enhances financial stability, others believe that it dilutes the value of MSTR shares.
