ZBAO Seeks $154 Million Bitcoin Financing Amid Nasdaq Listing Pressure
Zhibao Technology, a Shanghai-based insurtech company listed on Nasdaq under the ticker ZBAO, has proposed a non-binding term sheet for a PIPE financing paid in roughly 3,500 Bitcoin.
The proposal was disclosed in a July 22 Form 6-K and attached Newsfile press release. However, this is not a signed takeover or a closed financing. Several conditions must be met before the deal can proceed, including legal, financial, and operational due diligence, definitive agreements, corporate and regulatory approvals, Nasdaq compliance, custody arrangements, audit verification, and other closing requirements.
Zhibao's current management would keep running the existing insurance business until any separation, disposition, or restructuring of that legacy business. The company has been under pressure to regain its Nasdaq listing due to a sub-dollar stock price, which has put it out of compliance with Nasdaq's minimum bid price rule.
The deal still needs to become real, and investors are being asked to price the possibility of a control transaction before the deal exists. The company's own business is not invisible in this story, as Zhibao describes itself as a 2B2C digital embedded insurance provider in China with over 40 proprietary digital insurance solutions across industries.
