Commerzbank CEO Defies UniCredit Over Control
The CEO of Commerzbank, Bettina Orlopp, is making it clear that just because UniCredit has control over 48% of the voting rights in her bank doesn't mean they get to call all the shots.
This distinction is crucial, as it highlights a nuanced aspect of corporate governance. Orlopp's argument is that having a majority stake in the share register does not necessarily translate into a mandate to run the show.
The regulatory landscape is also playing out behind the scenes. The European Central Bank (ECB) has deemed UniCredit's application complete and passed it on to the ECB, which now has up to 60 working days to rule, extendable by another 20 if additional information is required.
Commerzbank posted a record first-half performance, raising its full-year guidance. The net return on equity hit 12.6%, while net interest income held steady at EUR 4.1 billion and commission income climbed meaningfully. Operating profit rose 14% to EUR 2.7 billion, with net income of EUR 1.8 billion.
