Commerzbank Stakes Rise as UniCredit Talks Reach Crucial Point
Commerzbank is at a critical juncture as it prepares to release its first-half figures on Thursday, coinciding with a key meeting between CEO Bettina Orlopp and UniCredit chief Andrea Orcel. The two will discuss the potential takeover of Commerzbank by UniCredit, which has been flagged for completion in the fourth quarter of 2026, pending European Central Bank approval.
Regulatory scrutiny is already underway, with the ECB formally opening its review of UniCredit's request to push its stake beyond 30 percent. Germany's financial regulator, BaFin, had previously deemed the paperwork complete.
The German government is also weighing a move to lift its roughly 12 percent holding in Commerzbank to a blocking minority of 25 percent, which could complicate any hostile takeover by UniCredit.
Commerzbank's supervisory board chairman, Jens Weidmann, has signaled that the board is willing to listen to UniCredit's offer but will demand a high price for any surrender of independence. This includes preserving roughly 39,000 jobs in Germany and maintaining Frankfurt as the operational headquarters.
