The European Central Bank (ECB) is reportedly inclined to approve UniCredit's application to take a majority stake in Commerzbank, according to a confidential document cited by Bloomberg. The ECB's blessing comes with a caveat, however - officials warn that any integration would prove 'challenging and protracted.'
Commerzbank shares closed Friday at €39.85, just below the 52-week high of €40.11 touched the previous day. The stock has climbed 1.7 percent over the week and 4.4 percent across the past month, a steady grind rather than a speculative spike.
UniCredit had accumulated 17.6 percent of Commerzbank shares by the July 3 acceptance deadline, and the formal talks now shift the conversation from whether a deal happens to how it gets structured. For investors, that transition is meaningful: the details under discussion - capital treatment, regulatory consolidation requirements, potential synergies - will ultimately determine the valuation math.
Commerzbank CEO Bettina Orlopp signaled openness to dialogue with UniCredit in late July, a notable shift from the board's initial rejection of an offer. By early August, she and UniCredit chief Andrea Orcel had convened their first formal discussions, covering balance-sheet mechanics, legal structures, risk exposure, and strategic direction.
