Commerzbank Takeover Battle Escalates as UniCredit and Supervisory Board Meet

Commerzbank's boardroom battle is shifting gears as Jens Weidmann, chairman of the supervisory board, has called for face-to-face strategy talks with UniCredit chief Andrea Orcel. Weidmann's demand comes after UniCredit's formal takeover offer expired and he issued a formal request for merger discussions.

Orcel has signaled willingness to talk but continues to keep the German government in his sights, retaining the ability to call an extraordinary general meeting as a pressure tactic. The Italian bank now effectively controls around 47.59% of Commerzbank shares, with Orcel aiming for operational control by the fourth quarter of 2026 pending approval from the European Central Bank.

UniCredit posted a net profit of €2.9 billion in the second quarter of 2026, two percent above consensus and marking the 22nd consecutive quarter of rising earnings. Orcel has dangled pre-tax synergies of €1.2 billion from a potential merger and pledged €22 billion in investment.
