Commerzbank Takeover: Regulators Clash Over Control as UniCredit Gains Ground
Commerzbank's takeover saga continues to unfold as regulators from Germany and Europe clash over control. The European Central Bank (EZB) has signaled a willingness to wave through UniCredit's acquisition, but Germany's financial watchdog BaFin is publicly criticizing the Italian lender for its pursuit of Commerzbank.
BaFin accused UniCredit of being 'aggressively and at times intransparently' in its takeover bid. The criticism comes as UniCredit's voting stake in Commerzbank rose to 49.65% due to the bank's buyback program, automatically increasing the relative weight of existing large shareholders.
The EZB has expressed concerns about the integration process and has asked BaFin to develop a strategy for building trust. Regulators are focusing on the terms of acceptance rather than the principle of the takeover.
Commerzbank's operating performance remains strong, with first-half net profit jumping 40% to €1.8 billion. However, the market reaction has been cautious, with shares trading 2.6% below their 52-week high.
