Commerzbank-UniCredit Deal Hinges on Integration Showdown
The Commerzbank takeover saga has entered a new phase as regulators appear poised to approve UniCredit's acquisition, but the integration process is expected to be 'challenging and protracted'.
According to a confidential European Central Bank document, obtained by Reuters, the regulator is inclined to grant approval, but with warnings about weak integration details from UniCredit. Separately, Bloomberg reported that UniCredit plans to sharply scale back Commerzbank's global trade finance operations, focusing instead on Germany and Poland.
The two developments signal that regulatory approval, while not yet final, is increasingly likely to be the easy part. The real challenges lie in the integration negotiations between Commerzbank CEO Bettina Orlopp and UniCredit counterpart Andrea Orcel, who have now opened formal talks covering balance-sheet, legal, and risk-related questions.
The stock price has been driven by optimism about a smooth outcome, with analysts upgrading target prices to as high as 46 euros. However, the bear case warns of friction between the two banks' different philosophies on balance-sheet structure, risk appetite, and future positioning, which could erode value rather than create it.
