Commerzbank's Thursday Deadline Looms: UniCredit Merger Talks Intensify
Commerzbank is at a critical juncture as it prepares to release its second-quarter figures on Thursday. The Frankfurt-based lender will also hold formal talks with UniCredit's Andrea Orcel, potentially paving the way for a merger that could determine Commerzbank's independence.
The meeting between Orlopp and Orcel marks a shift from months of negotiations over stake sizes and antitrust questions to concrete board-level discussions. Orcel has previously stated his target window for completing a takeover is the fourth quarter of 2026, pending European Central Bank approval, which will be made within 60 working days after UniCredit's application was forwarded in late July.
The regulatory clock is ticking as UniCredit's market capitalization stands at roughly EUR 130 billion, against Commerzbank's EUR 41 billion. The German government retains a 12.7 percent stake in Commerzbank, while UniCredit controls 47.59 percent of the capital and 49.65 percent of voting rights.
Commerzbank shares have gained nearly a quarter over the past twelve months and are within striking distance of their 52-week high, trading at EUR 39.28 as of Tuesday. The quarterly report will be closely watched by investors, with analyst houses expecting consensus earnings per share of EUR 3.09 for the full year 2026.
